Overview

We work closely with our corporate clients as trusted business advisers to provide practical, customized solutions that further their business objectives. Our "one firm" approach ensures that we work across legal disciplines to provide the highest level of service. We represent public and private companies, private equity firms, banks and non-bank debt investors, governmental entities, and other institutional investors on a variety of complex transactions and other matters.

Our attorneys also update and maintain "Robinson on North Carolina Corporation Law (7th ed.)," originally authored by our founding partner, Russell Robinson. This publication is the premier treatise on North Carolina corporation law, providing extensive coverage of the business corporation, limited liability company and nonprofit corporation statutes in North Carolina. Our continued work on this treatise provides our firm with a unique perspective on governance issues faced by business entities of all types. As a result, our lawyers are regularly called upon to serve as outside counsel to numerous public and private companies and assist many other in-house legal staffs with respect to corporate governance issues. In addition, we assist owners of businesses with the preparation and negotiation of corporate shareholders’ agreements, limited liability company agreements, voting agreements and other arrangements related to the private ordering of internal corporate affairs.
