Matt Kusel’s practice focuses on the representation of private and publicly traded companies in a variety of securities transactions and SEC reporting and compliance matters. Matt also regularly advises boards of directors regarding corporate governance practices. His experience includes representing issuers and underwriters in registered and 144A/Reg S debt offerings, liability management transactions, corporate restructurings and acquisition financings.
Matt was previously an attorney at Milbank LLP in New York City.

Represented a private company in a third-party tender offer for the company’s outstanding equity.
Represented companies in analyzing their obligations under the Corporate Transparency Act and the related rules issued by the Financial Crimes Enforcement Network (FinCEN).
